End User License Agreement

Subject to your compliance with this Agreement and payment of any applicable fees, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

• Access and use the web platforms (myroofplan.com and myroofmaps.com) through a standard web browser
• Download and install one copy of the mobile application on a device you own or control
• Use the Services solely for your personal or internal business purposes related to roofing maintenance and management

This license does not include the right to resell, redistribute, or make commercial use of the Services beyond the scope expressly permitted by your subscription plan.

2.1 Plan Tiers

MyRoofPlan offers the following subscription plans:

• Essential Plan: $59/month, includes 1 scheduled visit per year
• Preferred Plan: $99/month, includes 2 scheduled visits per year
• Premium Plan: $149/month, includes 4 scheduled visits per year

All plans include a one-time initiation fee of $299, which covers the initial roof assessment and onboarding.

2.2 Billing

Subscriptions are billed on a monthly basis. You authorize the Company to charge your payment method on file at the start of each billing cycle. Failure to pay may result in suspension or termination of your account.

2.3 Refunds

Initiation fees are non-refundable. Monthly subscription fees are non-refundable for the current billing period. You may cancel at any time and will retain access through the end of your paid period.

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the confidentiality of your account credentials
• Notify us immediately at legal@myroofplan.com of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

The Company reserves the right to suspend or terminate accounts that violate this Agreement or are used for fraudulent purposes.

4.1 Ownership

All content, features, functionality, software, text, graphics, logos, images, data compilations, and other materials within the Services: including but not limited to the myroofplan.com and myroofmaps.com platforms and associated mobile applications: are owned by Mossy Propellers Group, Inc. (d/b/a MyRoofPlan) or its licensors and are protected by U.S. and international intellectual property laws.

4.2 Restrictions

You may not:

• Copy, modify, distribute, sell, or lease any part of the Services or software
• Reverse engineer, decompile, or disassemble any software component
• Remove or alter any proprietary notices, labels, or marks
• Use the Services to develop a competing product or service
• Scrape, crawl, or extract data from the Services without express written permission

4.3 Feedback

If you provide feedback, suggestions, or ideas regarding the Services, you grant the Company a royalty-free, worldwide, irrevocable license to use such feedback for any purpose without compensation to you.

You may submit content such as property information, photos, roof condition notes, or other data ("User Content"). By submitting User Content, you:

• Represent that you have all necessary rights to submit the content
• Grant the Company a non-exclusive, royalty-free license to use, store, and process the content solely to provide the Services
• Acknowledge that the Company does not claim ownership of your User Content

The Company reserves the right to remove User Content that violates this Agreement or applicable law.

7.1 Apple App Store (iOS)

If you download the mobile application through the Apple App Store, you acknowledge:

• This Agreement is between you and the Company only, not Apple Inc.
• Apple has no obligation to provide maintenance or support for the application
• In the event of any product liability claim, warranty failure, or third-party intellectual property infringement claim, Apple is not responsible
• Apple and its subsidiaries are third-party beneficiaries of this Agreement and may enforce its terms against you

7.2 Google Play Store (Android)

If you download the mobile application through the Google Play Store, you acknowledge:

• This Agreement is between you and the Company only, not Google LLC
• Google has no obligation to provide maintenance or support for the application
• Google is not responsible for any claims, losses, liabilities, damages, costs, or expenses relating to the application

7.3 Device Requirements

You are responsible for ensuring your device meets minimum technical requirements for the application. The Company is not liable for performance issues arising from incompatible hardware or operating system versions.

7.4 Updates

The Company may release updates to the mobile applications periodically. Continued use of the application after an update constitutes acceptance of any updated terms.

You agree not to use the Services to:

• Violate any applicable federal, state, or local laws or regulations
• Impersonate any person or entity or misrepresent your affiliation
• Transmit malware, viruses, or other malicious code
• Interfere with or disrupt the integrity or performance of the Services
• Attempt unauthorized access to any portion of the Services or related systems
• Use automated tools (bots, scrapers, crawlers) without prior written consent
• Engage in any activity that could damage the Company's reputation or business

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

THE COMPANY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ROOFING ASSESSMENTS AND RECOMMENDATIONS PROVIDED THROUGH THE SERVICES ARE INFORMATIONAL ONLY AND DO NOT CONSTITUTE PROFESSIONAL ENGINEERING OR CONTRACTOR ADVICE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES
• DAMAGES ARISING FROM RELIANCE ON ROOFING ASSESSMENTS OR RECOMMENDATIONS
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA

IN NO EVENT SHALL THE COMPANY'S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

SOME STATES DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

You agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your violation of this Agreement
• Your use of the Services in an unauthorized manner
• Your User Content
• Your violation of any third-party rights

This Agreement is effective until terminated. Either party may terminate this Agreement at any time. The Company may immediately suspend or terminate your access if you breach any provision of this Agreement.

Upon termination:

• Your license to use the Services immediately ceases
• You must cease all use and delete any downloaded application copies
• Accrued payment obligations and provisions that by their nature should survive termination will survive

Sections 4, 9, 10, 11, 13, 14, and 15 shall survive termination of this Agreement.

13.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any dispute arising from or relating to this Agreement or the Services shall first be attempted to be resolved informally by contacting us at legal@myroofplan.com. If not resolved within 30 days, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, with arbitration conducted in Washington or via videoconference.

13.3 Class Action Waiver

YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION.

13.4 Venue

For any matters not subject to arbitration, you consent to exclusive jurisdiction and venue in the state and federal courts located in Washington.

The Services may integrate with or link to third-party services (e.g., mapping providers, payment processors). Your use of such third-party services is governed by their respective terms of service and privacy policies. The Company is not responsible for the content, accuracy, or practices of any third-party services.

15.1 Entire Agreement

This Agreement, together with our Privacy Policy and any applicable subscription order or service agreement, constitutes the entire agreement between you and the Company regarding the Services.

15.2 Modifications

The Company reserves the right to modify this Agreement at any time. We will provide notice of material changes by updating the Effective Date and, where feasible, notifying you via email or in-app notification. Continued use of the Services after changes constitutes acceptance.

15.3 Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions will remain in full force and effect.

15.4 Waiver

Failure by the Company to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.

15.5 Assignment

You may not assign this Agreement or any rights hereunder without the Company's prior written consent. The Company may freely assign this Agreement in connection with a merger, acquisition, or sale of assets.

15.6 Force Majeure

The Company shall not be liable for delays or failures in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemic, war, or government actions.
